Frankfort Mustangs Club, Inc.
I. Name and Purpose. The name of this organization is Frankfort
Mustangs Club, Incorporated. The club’s purpose is to promote the
enjoyment and preservation of Ford Mustang automobiles.
II. Incorporation. The club will function as a non-profit corporation
Under the laws of the Commonwealth of Kentucky.
III. Membership. Club membership – including participation in club
activities, the ability to serve as a club officer, receipt of the club
newsletter, and the privilege of voting in regard to club affairs –
is open to all persons who are Ford Mustang automobile
enthusiasts, and who remain current in the payment of club dues.
IV. Dues. Annual dues in the amount of $15.00 for each member or each
family are due on the first day of July of each year. Dues should be
paid directly to the club treasurer. The treasurer will prorate dues by
the month over the course of each July-through-June club fiscal year.
In the event of the dissolution of the club, funds in the treasury will be
donated to another non-profit corporation.
V. Officers. The officers of the Frankfort Mustangs Club and their duties
are as follows:
President – The president is the chief executive officer of the club.
The president’s duties include presiding over club meetings, general
supervision of club activities, maintenance of relations between the
club and other entities, appointing of committees as required, and
other duties as may be necessary to the successful accomplishment
of the mission of the club.
Vice President – The vice-president is the primary assistant to the
president who serves in the absence of incapacity of the president
and performs special functions at the request of the president.
Secretary/Treasurer – The Secretary/Treasurer maintains records
of club meetings and activities, collects membership dues,
establishes and maintains the club bank account, reports regularly
on club financial matters, and supervises the financial aspects of
special events and fund-raising activities.
Newsletter Editor/Webmaster – The newsletter editor/webmaster
is responsible for communications within the club and for public
relations on behalf of the club. The editor/webmaster will publish
and distribute a monthly club newsletter. The editor/webmaster will
establish and maintain an internet website for the club.
Road Manager – The road manager will supervise club events that
involve group travel – including establishing contacts, setting
schedules and rendezvous points, arranging meals and
accommodations, and taking other actions intended to enhance the
enjoyment and safety of out-of-town club activities.
Directors – The club will elect three directors who will fulfill the
obligations of non-profit corporation directors under the laws of
the Commonwealth of Kentucky.
VI. Meetings. Club meetings will be held once each month at a regular
time and place convenient to the members of the club. One-half of
the current, dues-paid club membership constitutes a quorum for the
conduction of any club business at any meeting.
VII. Elections. Club officers will be elected for one-year terms each year
at the July meeting. There is no limit to the number of terms that an
officer may serve. All dues-paid members are eligible to hold club
offices.
VIII. Amendments. These bylaws may be amended by a majority vote of
the members present at any regularly scheduled meeting, so long as
notification of the suggested change has been provided to all members
in writing no less than thirty days prior to that meeting.
